ECU UPGRADE QUESTION. IS WORTH IT?

is an ecu upgrade worth it if i only have a k&n air filter (which is really nothing) will i see any gains any down sides or will i have probs w/ car if i dont have down pipe or diff exhaust? i dont want to go crazy with performance just want some more boost cheap.i have an 03 es V6
